What You Get
- A compliant nominee director who satisfies the Companies Act's resident-director requirement
Every Singapore company needs at least one director who is ordinarily resident in Singapore. Enston can act as nominee resident director in selected cases, subject to our due diligence — you keep full management control through your own appointed executive directors.
Under the Singapore Companies Act, every company must have at least one director who is a resident of Singapore — a Singapore Citizen, Permanent Resident, or Employment Pass holder. That director must be a natural person of full age and capacity; a corporate entity cannot fill this role. If you don't already have a locally resident director, the usual routes are appointing someone local you trust as a co-director, or relocating a founder on an Employment Pass or EntrePass. Enston can also act as nominee resident director in selected cases, subject to our due diligence — we offer this case by case rather than as a standard service.
The nominee director service and its eligibility conditions are two different things — here's a clear line between what we provide and what's required of you to use it.
You run the business through your own appointed directors — our nominee director doesn't manage your operations or finances. What they do carry is a director's full legal duties, which means real oversight: that's a statutory requirement, and it protects your company as much as it protects them.
One annual fee, one refundable deposit, clearly stated conditions — no hidden requirements.
Because the service requires bundling with our secretarial, accounting, and filing services, your company's compliance is managed end-to-end by one team, not pieced together across providers.
You can terminate the service at any time, with your deposit refunded within a month of the change being registered.
A single annual fee for the nominee director service — plus a refundable security deposit, held separately for as long as the service runs. We take this on case by case, subject to our due diligence, so talk to an advisor before planning around it.
per year
In addition to the S$2,000.00 annual fee, a refundable S$2,000.00 security deposit is held for the duration of the service. It's returned in full within one month of a replacement nominee being registered with the Company Registrar — see the FAQ below.
