XBRL Conversion and Filing

XBRL stands for eXtensible Business Reporting Language, an open standard used in computers to present financial statements such that they can be retrieved from online records and transferred directly to users such as auditors, regulators, financial analysts for various purposes. The Accounting & Corporate Regulatory Authority (ACRA) implemented a new filing requirement for Singapore incorporated companies to file their financial statements (FS) in XBRL format with effect from 1 November 2007. ACRA believes that the use of XBRL will achieve the objectives of facilitating the conduct of business in Singapore.

Branch Setup

A branch of a foreign company is an extension of its parent company. It is not a subsidiary company which is incorporated under Singapore Company Act. If a foreign corporation prefers not to incorporate a company in Singapore, the alternative approach is to register a branch in order to carry on business under the corporate title of the foreign company.

LLP Setup

To meet evolving business needs and to align with the international developments, Limited Liability Partnership (LLP) is introduced through the enactment of Limited Liability Partnership Act in 2005. An LLP is a business structure that allows two or more person to operate a business as a partnership while giving it a separate legal identity like a private limited company.

Owners who registered their business as an LLP enjoy the flexibility of operating the business as a partnership and will not be held personally liable for any debts incurred by the LLP / actions of the other partner. Thus, the LLP structure is most suitable for professionals (e.g. accountants, lawyers) who would like to build a joint practice.

If the LLP business structure sounds like it may suit your business needs, read on to find out more about LLP.
